Terms of Use

These Ycode Terms of Use (“Terms”) are entered into by and between the Ycode entity set forth below ("Ycode") and the entity or person accessing any services ("Customer" or "you"). Ycode is a service that provides clients with a no-code web app designing and developing services (“Services”).

As used in these Terms, "Ycode" means Ycode, Inc, a Delaware corporation with an address at 228 Park Ave S, PMB 54955, New York, NY 10003-1502, the United States of America.

The purpose of these Terms is to introduce the basic terms and conditions of our Services. 

BY INDICATING YOUR ACCEPTANCE OF THESE TERMS OR ACCESSING OR USING ANY YCODE SERVICES, YOU ARE AGREEING TO BE BOUND BY ALL TERMS AND CONDITIONS CONTAINED OR REFERENCED TO IN THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE OUR SERVICES.

1. Acceptance of Terms

1.1. To use our Services you must:

1.1.1. be at least eighteen years old,

1.1.2. provide accurate contact information,

1.1.3. agree with these Terms and Privacy Policy.

1.2. By signing up or using the site, you accept these terms and conditions and warrant that you meet all the requirements listed in this document, and that you won’t use the Services in a way that violates any laws or regulations.

2. General rules

2.1. You must follow these rules:

2.1.1. Your use of our Services has to comply with all applicable laws and regulations;

2.1.2. You shall satisfy the content requirements set in these Terms when using our Services; 

2.1.3. You shall have permission to collect personal data of your clients;

2.1.4. If you are accessing or using the Services on behalf of your company, you confirm that you are authorized to accept these Terms on behalf of your company, and all references to "you" or "Customer" refers to your company.

2.2. If you violate any of these rules, we may suspend or terminate your account.

3. Communications

3.1. You acknowledge and agree that Ycode may occasionally send you communications regarding your account or the Services via email.

4. Accounts, passwords and security

4.1. You must be a registered user to access the Services. To create a Ycode account, you should provide the following information: your first name, last name, company name (if applicable), and email address. 

4.2. You are responsible for keeping your password secure. You will be solely responsible and liable for any activity that occurs under your account.

5. Consent

5.1. Personal data of data subjects shall be uploaded to your website only when having a legal basis to collect and process their personal data according to applicable laws and regulations (e. g. General Data Protection Regulations (Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data).

6. Appropriate content

6.1. We allow you to create sites that do not violate any laws and regulations. However, these types of sites are not allowed: 

6.1.1. adult (involving nudity in a sexual context, pornography or other);

6.1.2. copyrighted content that you do not own the rights to; 

6.1.3. content that promotes violence or incites hatred against certain individuals or groups, such as race, religion, ethnicity, gender, sexual orientation or other; 

6.1.4. a site meant to trick users into providing their username and password; 

6.1.5. scams (pyramid schemes, MLM, "Get Rich Quick", Forex, weight loss material or other dubious schemes); 

6.1.6. sites that offer or sell items or services that are illegal (weapons, counterfeit, stolen, fraudulent, infringing, violate rights of privacy/publicity or offensive, escort services, gambling, mobile unlocking services or other illegal goods and services); 

6.1.7. any other content which may be illegal under the laws. 

This list is a quick reference and is not meant to be complete.

6.2. When creating content, you represent and warrant that you either own or have permission to use all of the material, content, data, and information, including your personal information and the personal information of others that you submit to Ycode in the course of using the Services.

6.3. You are responsible for the personal data protection of your website users. If applicable law requires, you must have a privacy policy, cookie statement and security statement on your website, provide appropriate notice and receive all consents and rights necessary under data protection laws to collect and process your website user’s personal data.

6.4. In no event shall Ycode be liable or responsible in any way in relation to your website content or relationship with your website users, including your collection of personal information.

6.5. Ycode reserves the right, at its sole discretion, to decide whether the content is inappropriate and terminate your account.

 7. Limitation of Liability

7.1. In no event shall Ycode be liable or responsible in any way in relation to the contents and use of, or differently in connection with this website, or for any indirect, special, incidental or consequential damages (including but not limited to loss of use, loss of profits, revenue, income or anticipated savings, business losses, loss of reputation or goodwill, loss of contracts or business relationships, or loss and/or corruption of information or data) whether in an action in contract, equity or otherwise, arising out of or in any way connected with the use of or inability to use this site or the materials therein or resulting from unauthorized access to or alteration of data. We won’t be held liable for any delays or failure in performance of any part of the Services if it is prevented or delayed in performing those obligations by an event of force majeure circumstances.

8. Termination of Services

8.1. The term of Services will continue for as long as you have a Ycode account or until you or we terminate it.

8.2. We reserve the right to terminate your account or limit your use of the Services at any time with or without cause. If we decide to terminate your account, you will receive a termination notice with further instructions.

8.3. You also have the option of canceling your account at any time. In the event of account cancellation, you will lose all data related to Your account.

9. Conditions

9.1. We may modify or terminate our Services at any time, for any reason, and without notice. We reserve the right to modify these Terms of Use at any time without notice. Please review these Terms of Use on occasion as they may change in the future. We may, but have no obligation to, remove accounts and content containing what we determine as unlawful, offensive, threatening, defamatory, obscene or otherwise objectionable material. We will remove content that violates any party’s intellectual property or these Terms of Use.

10. Intellectual property

10.1. Ycode claims no intellectual property rights over the material you provide to the Services, including the design of your website and its source code. 

 10.2. However, please keep in mind that Ycode owns the code that runs the Ycode application, as well as all rights, title and interest in and to the Services, including without limitation all intellectual property rights, and such rights are protected by international intellectual property laws. You agree that you will not copy, reproduce, alter, modify, or create derivative works from the Services.

11. Privacy

11.1. At Ycode, protecting your and your clients‘ privacy is very important. Please read our Privacy Policy to know more about how we process and protect personal data in accordance with good industry practice.

12. Changes

12.1. Ycode reserves the right to change these Terms of Use at any time. If we decide to change this document, we will post changes on this page. All changes are effective immediately upon posting and we suggest that you check these Terms of Use periodically.

13. Miscellaneous provision

13.1. These Terms of Use will begin when you become our client and will continue unless terminated hereunder.
